Vivianette Velázquez is Of Counsel whose practice focuses primarily on counseling public housing authorities, non-profits and developers on a variety of real estate matters, including structuring and closing mixed-finance and affordable housing transactions.

Notable Matters

  • Managed a complex, multi‑property HUD TPA process for FHA‑financed assets as part of a corporate restructuring, overseeing all HUD submissions, responding to agency inquiries, and ensuring full compliance with HUD’s TPA and ownership‑transfer requirements.
  • Represented a Florida-based developer in a LIHTC transaction involving a deteriorated 171-unit property, and managing the restructuring of existing debt to preserve project feasibility, drafting state housing finance agency debt documents, and preparing HUD compliance submissions—including the AHAP—in support of the development of a new 192-unit affordable housing community.
  • Represent public housing authorities in complex affordable housing transactions, including conversions through the Rental Assistance Demonstration (RAD)/Section 18 blend program and the Restore-Rebuild HUD program.
  • Closed multi-phase redevelopment projects using federal, state, and local funding sources, including Fannie Mae and Freddie Mac financing, resulting in significant infrastructure upgrades and the development of public-private parks.
  • Represent the industry groups on regulatory, legislative, and strategic initiatives, including drafting and analyzing proposed housing legislation and policy.
  • Represented a housing authority in the rehabilitation and conversion of 1,698 units to Section 8 Project-Based Vouchers (PBV) through HUD’s RAD program.
  • Represented a housing authority in a 119-unit RAD redevelopment financed with 9% Low-Income Housing Tax Credits and a Choice Neighborhoods Initiative (CNI) grant.
  • Represented a housing authority in the redevelopment of 70 units financed with Project-Based Vouchers (PBVs) and Project-Based Rental Assistance (PBRA).
  • Provide counsel on housing authority governance, entity structuring, and the formation of affiliated 501(c)(3) nonprofit organizations.
  • Advised and represented property owners, investors, cooperatives, and management companies in residential and commercial real estate matters, including drafting leases and sales agreements, regulatory compliance, and litigating disputes in court and administrative proceedings involving evictions, foreclosures, and property management issues.
